These Terms of Service ("Terms") govern your use of the services, platforms, and content provided by Vindrosl Energy LP ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
By accessing and using the services provided by Vindrosl Energy LP, including but not limited to our wind resource assessment, grid integration analysis, and related consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are accessing our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Vindrosl Energy LP provides specialized consulting and assessment services related to wind resource evaluation, grid integration feasibility studies, and renewable energy project development. Our services are designed to support clients in Canada and California with data-driven analysis and technical expertise. Services may include site assessment, wind modeling, grid interconnection studies, and related consulting services as agreed upon in individual service agreements.
You agree to provide accurate, current, and complete information when requesting our services or interacting with our platforms. You are responsible for maintaining the confidentiality of any account credentials or access information provided to you. You agree not to share your credentials with third parties without our explicit consent.
You agree not to use our services for any unlawful purpose or in violation of any applicable laws or regulations. Prohibited activities include, but are not limited to: unauthorized access to our systems, reverse engineering or attempting to derive source code, transmitting malicious code, impersonation, harassment, or any activity that interferes with the proper functioning of our services or platforms.
All content, materials, software, and services provided by Vindrosl Energy LP, including but not limited to reports, analyses, methodologies, tools, and documentation, are the exclusive intellectual property of the Company or our licensors. These materials are protected by Canadian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services solely for the purposes authorized by your service agreement. You may not reproduce, distribute, transmit, modify, or create derivative works of any content without our prior written consent.
Each party agrees to maintain the confidentiality of sensitive information shared during the course of our business relationship. This includes technical data, project details, financial information, and any proprietary methodologies or findings. Confidential information must not be disclosed to third parties without prior written consent, except as required by law or to professional advisors under confidentiality obligations.
Vindrosl Energy LP is committed to protecting personal data in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA), applicable Quebec privacy laws, and other relevant Canadian privacy legislation. We process personal data only as necessary to provide our services, communicate with you, and comply with legal obligations. You have the right to access, correct, or request deletion of your personal data, subject to applicable legal restrictions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VINDROSL ENERGY LP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability for any claim arising from or related to your use of our services shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the claim, or $5,000 CAD, whichever is greater.
VINDROSL ENERGY LP PROVIDES SERVICES ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF OUR ASSESSMENTS, REPORTS, OR ANALYSES. WHILE WE EMPLOY INDUSTRY-STANDARD METHODOLOGIES AND EXPERTISE, WIND RESOURCE ASSESSMENT AND GRID INTEGRATION ANALYSIS INVOLVE INHERENT UNCERTAINTIES AND FORECASTING LIMITATIONS.
THE COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME FULL RESPONSIBILITY FOR EVALUATING THE APPROPRIATENESS OF OUR SERVICES FOR YOUR SPECIFIC NEEDS AND CIRCUMSTANCES.
You agree to indemnify, defend, and hold harmless Vindrosl Energy LP, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your violation of these Terms; (b) your use or misuse of our services; (c) your infringement of any third-party intellectual property rights; or (d) any content you provide or transmit through our platforms.
Vindrosl Energy LP reserves the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation of services. While we strive to maintain uninterrupted access to our platforms, we do not guarantee continuous or error-free service. We may perform maintenance or updates that temporarily interrupt service access.
Our platforms may contain links to third-party websites, resources, and services. Vindrosl Energy LP does not endorse, control, or assume responsibility for the content, accuracy, or practices of third-party websites or services. Your use of third-party links is at your own risk and subject to their respective terms and conditions. We are not responsible for any harm, loss, or damage arising from your access to or use of third-party content or services.
Payment terms for our services are specified in individual service agreements or proposals. Unless otherwise stated, invoices are due within thirty (30) days of issue. Late payments may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Vindrosl Energy LP reserves the right to suspend or terminate services if payment is not received by the agreed-upon deadline. All fees are exclusive of applicable Harmonized Sales Tax (HST) or other applicable taxes, which shall be added to invoices as required by law.
Either party may terminate a service agreement by providing written notice to the other party. The specific notice period and termination procedures are outlined in individual service agreements. Upon termination, any outstanding obligations, including payment for services rendered, remain due and payable. Termination does not affect provisions regarding confidentiality, intellectual property rights, indemnification, or liability limitations, which shall survive termination.
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. You agree that any legal proceedings arising from or related to these Terms shall be brought exclusively in the courts of Ontario, and you consent to the personal jurisdiction of such courts. For residents of Quebec, certain provisions may be governed by Quebec law where applicable.
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through negotiation. If negotiation fails, disputes may be subject to mediation or arbitration as outlined in individual service agreements. Any arbitration shall be conducted in accordance with the rules of a mutually agreed-upon arbitration body or, if not agreed upon, the Canadian Arbitration Association.
If any provision of these Terms is found to be invalid, unenforceable, or unlawful by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
These Terms of Service, together with our Privacy Policy, any applicable service agreements, and any other documents incorporated by reference, constitute the entire agreement between you and Vindrosl Energy LP regarding your use of our services. These Terms supersede all prior negotiations, understandings, and agreements, whether written or oral. No modification of these Terms is valid unless made in writing and signed by an authorized representative of Vindrosl Energy LP.
Vindrosl Energy LP reserves the right to modify these Terms of Service at any time. Material changes will be communicated to you via email or through our platforms. Your continued use of our services following any amendments constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any changes.
